Terms of Use

1. Acceptance of Terms

Welcome to Promeon ("Promeon," "we," or "us"). These Terms of Use ("Terms") govern your access to and use of Promeon, our AI-native workspace and knowledge vault, available through our website and applications (the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You represent that you are at least 16 years old (or the age of majority in your jurisdiction, if higher) and legally capable of entering into a binding agreement. The Service is not intended for and should not be used by anyone under that age.

2. Description of the Service

Promeon is an AI-native workspace and private AI Knowledge Vault that transforms a company's documents into a single, intelligent, and secure knowledge base. Key features include:

  • Document Uploads & Connectors: You can securely upload documents or connect third-party sources (for example, Google Drive, Slack, Notion, Asana, or other storage and collaboration tools) to a private workspace for indexing and retrieval.
  • RAG-Powered Answers: Promeon uses Retrieval-Augmented Generation to find exact, sourced information from your documents and produce accurate, context-aware answers, summaries, and suggested content derived from your data and governance rules.
  • Governance & Access Controls: The Service provides controls for document access, role-based permissions, and other governance features to help protect sensitive information.
  • AI Assistance: The Service may use third-party AI providers to analyze content and generate outputs (e.g., answers, summaries, suggested text). You can review, edit, and use these outputs at your discretion.
  • Integrations and Extensions: We may offer optional browser extensions, plugins, or integrations to improve your workflow. Any such tools are governed by these Terms and our Privacy Policy.

3. Account Registration and Security

To use Promeon you must create an account and provide accurate, current information. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. If you suspect unauthorized use, notify us immediately at the contact address below.

You agree to use only one account per user unless otherwise authorized. Organizations may permit employee use, but each individual user must have their own account and accept these Terms.

4. User Permissions and Data Access

When you connect data sources or upload documents, you authorize Promeon to access, process, index, and store those documents to provide the Service. Specific points:

  • Connectors & OAuth: For third-party integrations we may use connector or OAuth flows. You will see a consent screen showing the permissions requested. You may revoke access via the third-party provider’s security settings, but revoking access may limit or disable the Service's functionality.
  • Scope of Access: Promeon will process content from connected sources and uploads to provide search, answers, summaries, and other features you request. We may perform actions in your workspace (such as tagging, indexing, or applying governance rules) as required by the Service.
  • Use of Data: We use your data only to provide and improve the Service, in accordance with our Privacy Policy. We do not sell your content or use it for advertising outside the Service. We may share content with subprocessors (for example, cloud hosting or AI providers) only as necessary and under contractual protections.
  • Account Connectivity: You are responsible for maintaining third-party accounts and internet connectivity. We are not liable for interruptions caused by third-party service changes.

5. Acceptable Use Policy

You must use the Service lawfully and responsibly. You will not:

  • Use the Service for unlawful activities, harassment, fraud, or harm to others.
  • Upload or distribute content that infringes intellectual property or privacy rights.
  • Attempt unauthorized access to the Service, other users’ workspaces, or Promeon systems.
  • Use the Service to send spam, phishing, malware, or otherwise compromise security.
  • Interfere with or disrupt the Service, or attempt to circumvent usage limits, security, or content filtering.
  • Deliberately use the AI to generate hateful, violent, defamatory, or otherwise malicious content.
  • Impersonate others or misrepresent the origin of AI-generated content in a way that causes harm.

Violations may result in suspension or termination and possible legal action. We may investigate and cooperate with law enforcement as required.

6. Data Handling and Privacy

Your privacy and data security are important. By using Promeon you agree to our Privacy Policy (incorporated here by reference). Key points:

  • Storage: We index and securely store uploaded documents and connected content to enable fast retrieval and AI processing.
  • AI Processing: Content from your workspace may be transmitted to or processed by third-party AI providers to generate answers or improvements. Such processing is governed by our Privacy Policy and contractual protections with subprocessors.
  • Anonymized Usage Data: We may collect aggregated, anonymized usage metrics to improve the Service; these will not identify you personally.
  • Data Removal: You can request deletion of your data; see our Privacy Policy or contact us at the address below. Deletion is generally irreversible and may require re-onboarding to restore functionality.
  • Compliance: We endeavor to comply with applicable data protection laws, including GDPR and similar privacy regimes, where applicable.

7. Intellectual Property Rights

Promeon and its licensors own the Service, including code, designs, and proprietary models. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

You retain ownership of your content. By providing content to Promeon, you grant us a worldwide, non-exclusive, royalty-free license to host, process, and sublicense to subprocessors as necessary to operate the Service. We do not claim ownership of your content beyond this operational license.

If you submit Feedback, you grant us a perpetual, royalty-free license to use it.

8. AI Content and Disclaimers

The Service uses AI to generate answers, summaries, and suggested content. Important disclaimers:

  • Imperfect Outputs: AI outputs may be incorrect, incomplete, or inappropriate. You must review and verify AI-generated content before relying on it.
  • No Professional Advice: AI outputs are not professional (legal, medical, financial) advice. Consult qualified professionals for critical matters.
  • User Responsibility: You are responsible for final content you publish or send based on Service outputs.
  • Use at Your Own Risk: The Service is provided "as-is." See Disclaimers and Limitation of Liability below.

9. Payment and Subscription

If you subscribe to paid plans, you agree to posted pricing, payment, and billing terms. Subscriptions typically auto-renew unless canceled. Trial periods and promotions are subject to specific terms. Fees are generally non-refundable except as required by law or at our discretion. You are responsible for taxes associated with purchases.

10. Termination of Service

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violations of these Terms, security risks, or if we discontinue the Service. Effects of termination may include deletion of your workspace and data; certain obligations (for example, indemnities and liability limitations) will survive termination.

11. Disclaimers of Warranties

The Service is provided "as-is" and "as-available." To the fullest extent permitted by law, Promeon disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

12. Limitation of Liability

To the maximum extent permitted by law, Promeon and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages (including lost profits or data) arising from your use of the Service. Our total liability for claims related to the Service will not exceed the amounts you have paid Promeon in the prior twelve (12) months (or $0 if you have not paid).

13. Indemnification

You agree to indemnify and hold Promeon and its affiliates harmless from claims, damages, losses, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of others' rights. We may assume exclusive defense at our cost.

14. Modifications to the Service and Terms

We may modify or discontinue the Service or these Terms at any time. For material changes to the Terms, we will provide notice (for example, by posting updates and updating the "Last Updated" date and, where reasonable, emailing account holders). Continued use after changes constitutes acceptance.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Catalonia, Spain. Disputes will be subject to the exclusive jurisdiction of the courts in that jurisdiction.

16. Miscellaneous

These Terms, together with the Privacy Policy and any other referenced terms, constitute the entire agreement between you and Promeon. If any provision is found invalid, the remainder will remain in effect. You may not assign your rights under these Terms without our consent; we may assign freely. No agency or partnership is created by these Terms.
